
Kodiak Oil & Gas believes strong corporate governance
practices are critical to successfully building shareholder value. Senior management,
led by the Chief Executive Officer, is responsible for running the operations
of the Company and informing the board of directors of the status of such operations.
The board of directors is elected by the shareholders to monitor management's
performance. The primary function of the board of directors is therefore oversight
- defining and enforcing standards of accountability that enable the CEO and
senior management to execute their responsibilities fully and in the interests
of the Company's shareholders.
